Share Larsen & Toubro (L&T) has entered into an agreement to transfer its Data Centre and Cloud Services Business to its wholly owned subsidiary, Vyoma.AI Limited, for an estimated ₹1,400 crore. The transaction will be carried out through a slump sale on a going-concern basis, with the consideration to be discharged through fully paid-up equity shares of Vyoma.AI. Vyoma.AI was incorporated in April 2026 as a public limited company focused on establishing data centres and providing infrastructure and technology-enabled services. The restructuring will bring L&T’s data centre and cloud activities under a dedicated entity, allowing the business to operate with a more focused digital infrastructure mandate. In a separate transaction, L&T will transfer its entire equity holding in L&T Network Services Private Limited (LTNSPL) to Vyoma.AI for ₹30 crore. The consideration will also be paid through the issuance of fully paid-up equity shares of Vyoma.AI. Once completed, LTNSPL will become a direct wholly owned subsidiary of Vyoma.AI and an indirect wholly owned subsidiary of L&T. The transactions are subject to closing conditions agreed between the parties and are expected to be completed on or before October 31, 2026. L&T has said the transactions are related-party transactions being conducted at arm’s length. For FY2025-26, L&T’s Data Centre and Cloud Services Business generated revenue of approximately ₹36.6 crore and had a net worth of around ₹1,142 crore. While its revenue contribution was relatively small compared with L&T’s overall business, the transfer places the asset under a dedicated entity focused specifically on data centres and technology-enabled infrastructure. The move is part of L&T’s broader effort to consolidate its digital infrastructure capabilities and build a focused platform around data centres, cloud services and related technology infrastructure. The restructuring could provide Vyoma.AI with a dedicated vehicle to scale these businesses as demand for India’s data centre and digital infrastructure capacity continues to grow.
